Terms of Sale

§1 Who you are contracting with

These terms apply when you buy a course or a route from tpg-training-academy.co.uk. The courses are sold to you by:

Company
TPG TRAINING ACADEMY LTD
Status
Private limited company registered in England and Wales
Company number
16424369
Registered office
15 St Botolph Street, London, EC3A 7BB

In these terms “we”, “us” and “our” mean TPG TRAINING ACADEMY LTD, and “you” means the person or business placing the order.

Your contract with us is formed when your payment is accepted on the secure payment page and you are taken to your order page. We confirm the contract, including your request for immediate access described in §5, in the email that brings your access details. These terms are in English, and the contract is concluded in English.

§2 What you are buying

A course is a set of recorded video lessons on UK bookkeeping, VAT, payroll or year-end accounts, streamed online. A route is a group of courses sold together, in a suggested order, at the single price shown. The page for each course or route lists its units, lessons and running time, and that description forms part of your contract.

Every course is recorded and streamed only. It does not include a live tutor, marking of or feedback on your work, downloadable copies of the lessons, a certificate, a qualification or any accreditation.

When you buy, we give you a personal, non-exclusive, non-transferable licence to watch the course for your own learning, for one named learner. That learner is you or, if you buy for someone else (for example an employee), the one person you name to us when you buy or before access begins. Under this licence you must not:

  • share your sign-in details, or let anyone else watch using your access;
  • record, download, screen-capture, copy, rebroadcast or redistribute any lesson or part of one;
  • use the lessons to teach or train other people, or sell or pass on your access.

If we reasonably believe the licence is being broken, we may suspend access after telling you why and giving you a chance to respond. Where your account appears to be in use by someone else, we may suspend it straight away to protect it, and we will then contact you.

§3 Prices and payment

Prices are in pounds sterling (GBP) and are shown on each course page, in your cart and at checkout. The price shown is the price you pay; any tax due is included and is accounted for by our payment service provider as merchant of record. There are no delivery or other added charges.

Payment is taken on a secure page run by our payment service provider, which acts as merchant of record for the sale. On our checkout form you give your name, email address, company name (optional) and billing address; we pass these to the payment service provider so that its payment page only needs to ask for your card or wallet. We never see or store your full card details. The payment service provider’s own terms apply to the payment itself.

The payment page may offer to show and charge the price in your local currency. If you accept, the amount is converted at the payment service provider’s rate and includes a conversion fee, which is shown to you before you pay. You can decline the offer and pay in pounds sterling. Your card issuer may make its own charges for payments in a foreign currency.

If a price on the site is obviously wrong because of an error, we will tell you before your access begins and you can either pay the correct price or cancel for a full refund.

§4 Access

After payment you are taken to your order page. Keep its address: it stays the same and shows the state of your order. We email your access details to the address you gave at checkout within one working day of payment. If they have not arrived by then, check your spam folder and then contact us (§12).

Access to each course you bought lasts 24 months from the day we send your access details. When that period ends, access ends, and nothing further is owed by either of us.

Lessons stream in a current web browser on a computer, tablet or phone. You need an internet connection good enough for video; the connection and your devices are your responsibility.

We aim to keep the courses available at all times, but access may occasionally be interrupted for maintenance, for security reasons or by events outside our control. We plan maintenance for quiet times where we can. If a fault on our side stops you watching for more than a short time, tell us and we will put it right under §6.

We may update, correct or re-record lessons to keep them accurate, for example when rules change for a new tax year, as long as the course still matches its description in substance.

§5 Your right to cancel

If you buy as a consumer, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 normally give you 14 days to cancel a contract for digital content that is not supplied on a tangible medium, such as a streamed course. The 14 days begin on the day after your contract is formed.

That right is lost once supply of the digital content has begun, if you expressly asked for it to begin within the 14 days and acknowledged that you would lose the right to cancel. Our checkout asks you for exactly this: you tick a box asking for access to begin straight away and confirming you understand that once access begins you lose your right to cancel within 14 days. We cannot take an order without it. Supply begins when we send you your access details, and from then on the right to cancel no longer applies to that order.

If we have not yet sent your access details, you can cancel within the 14 days and we will refund the full price. To cancel, email us at hello@tpg-training-academy.co.uk with your order reference (it starts with TPG-) and a clear statement that you want to cancel. You may use the model cancellation form below, but you do not have to:

To TPG TRAINING ACADEMY LTD, 15 St Botolph Street, London, EC3A 7BB, hello@tpg-training-academy.co.uk:

I hereby give notice that I cancel my contract for the supply of the following digital content:

  • Course or route
  • Ordered on
  • Name
  • Address
  • Date

We refund within 14 days of receiving your notice, through our payment service provider, to the payment method you used, without any fee. If you paid in another currency, the amount that reaches you may differ slightly because of exchange rates.

Losing the right to cancel does not affect your rights if a course is faulty or not as described (§6).

§6 If something is wrong

If you are a consumer, the Consumer Rights Act 2015 says that digital content must be of satisfactory quality, fit for any particular purpose you made known to us, and as described. If a course is not, you are entitled to:

  • have it repaired or replaced, within a reasonable time and without significant inconvenience to you, at no cost; and
  • if a repair or replacement is impossible, or is not done within a reasonable time or without significant inconvenience, a price reduction, which can be as much as the full price.

If digital content we supply damages your device or other digital content, and that happens because we did not use reasonable care and skill, we will repair the damage or pay you compensation.

If you have paid and we cannot give you access at all, we will refund the full price.

To report a problem, email us or write in the chat with your order reference and a short description of what went wrong. For more on your rights, contact Citizens Advice (citizensadvice.org.uk, 0808 223 1133). Nothing in these terms affects your legal rights.

§7 What the courses are not

The courses are education. They explain how UK bookkeeping, VAT, payroll and year-end accounts work, using worked examples. They are not tax, accounting, legal or financial advice for your circumstances or for anyone else’s. Before acting on something that matters for a real business, check the current official guidance or take advice from a qualified professional who knows the facts.

Rates, thresholds and deadlines change, often each April. Each lesson that uses them states the tax year it teaches, and figures are correct for that year only.

A course does not lead to a qualification and is not endorsed by any professional body or government department. Completing a course is not a promise of work or income. The businesses and figures in the examples are invented for teaching.

§8 Intellectual property

The lessons, recordings, slides, worked examples, text, logo and design of this site belong to us or to those who licensed them to us, and are protected by copyright and other intellectual property rights. Buying a course gives you only the licence in §2; no other rights pass to you.

§9 Liability

We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. Loss is foreseeable if it is obvious that it will happen, or if both of us knew it might happen when the contract was made. We are not responsible for loss that is not foreseeable.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law, including your rights as a consumer under the Consumer Rights Act 2015.

If you are a consumer, we supply the courses for your own learning. We are not liable to you for loss of profit, loss of business, business interruption or loss of business opportunity.

If you buy as a business, our total liability to you arising from an order is limited to the price paid for that order, and we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.

§10 Business buyers

If you buy for the purposes of your trade, business, craft or profession, including a company buying for an employee, you are not a consumer. The cancellation rights in §5 and the consumer remedies in §6 do not apply to you, and the limits in the last paragraph of §9 do. You are responsible for making sure the learner you name keeps to the licence in §2. Everything else in these terms applies to you in the same way.

§11 Changes to these terms

We may change these terms from time to time; the date at the top of this page shows when they last changed. The terms that apply to your order are the ones shown here when you placed it. We will change them for an order already placed only where the law, a regulator or security requires it, and we will tell you before the change takes effect where we can. If such a change is significantly to your disadvantage, you may end the contract and we will refund the price for the months of access you have not yet had.

§12 Complaints and contact

If you have a question or a complaint, email us at hello@tpg-training-academy.co.uk or write to us in the chat in the corner of any page, where a person replies. Please include your order reference. We aim to reply within one working day and will tell you how we propose to resolve the matter. Our postal address is our registered office in §1.

If we cannot settle a complaint between us, you can get free, independent advice from Citizens Advice (citizensadvice.org.uk, 0808 223 1133), and you may take the matter to court under §13.

§13 Law and courts

These terms and any contract under them are governed by the law of England and Wales. If you are a consumer, you may bring proceedings in the courts of England and Wales; if you live in Scotland you may also bring them in Scotland, and if you live in Northern Ireland you may also bring them in Northern Ireland. If you buy as a business, the courts of England and Wales have exclusive jurisdiction.
